This Mutual Confidentiality Agreement (“Agreement”) is entered into as of [Effective Date] by and between [Name of Party A] and [Name of Party B]. The parties wish to explore a potential business relationship, during which it may be necessary to disclose certain confidential information to each other.
For the purpose of this Agreement, “Confidential Information” shall include all written, electronic, or oral information disclosed by either party that is marked or identified as confidential or that should reasonably be understood to be confidential based on the nature of the information and the circumstances of disclosure.
