This Confidentiality Agreement (hereinafter referred to as “Agreement”) is made effective as of [Effective Date], between the Disclosing Party and the Receiving Party for the purpose of protecting confidential information as defined herein.
For the purposes of this Agreement, “Confidential Information” shall include any data or information that is proprietary to either party and not generally known to the public, including but not limited to business plans, financial information, and trade secrets.
